1. Acceptance of terms

By creating an account or using SAIBA Corporate, you confirm that you are at least 18 years of age, have authority to enter into these Terms on behalf of yourself or your organisation, and agree to comply with all applicable laws.

2. Description of service

SAIBA Corporate is an insurance portfolio-management platform for corporates, provided either as a cloud (software-as-a-service) subscription or as an on-premise deployment on your own infrastructure. Access is granted subject to the terms of your order or service agreement. We may modify, suspend or discontinue features with reasonable notice.

3. Account registration and security

You are responsible for maintaining the confidentiality of your account credentials. You agree to provide accurate information, keep it current, keep passwords secure, notify us of any unauthorised use, and be responsible for all activity under your account. We are not liable for loss arising from your failure to meet these obligations.

4. Fees and payment

Access to the Service requires a valid subscription or licence. Fees are as set out in your order or service agreement and are invoiced accordingly. Unless stated otherwise, fees are exclusive of applicable taxes. We reserve the right to change pricing with 30 days’ prior notice. Non-payment may result in suspension or termination.

5. Acceptable use

You agree not to use the Service to:

• Violate any applicable laws, regulations or third-party rights.
• Upload or transmit malicious code or harmful content.
• Attempt to gain unauthorised access to the Service or its infrastructure.
• Reverse engineer, decompile or disassemble the platform.
• Resell, sublicense or commercially exploit the Service without our written consent.
• Store illegal, defamatory or fraudulent data on the platform.

We may suspend or terminate accounts that violate these terms.

6. Data and content

You retain full ownership of all data and content you upload to or create within SAIBA Corporate (“Your Data”). You grant us a limited, non-exclusive licence to store, process and display Your Data solely to provide the Service. You are responsible for ensuring Your Data complies with applicable laws and that you have all necessary rights and consents.

7. Disclaimer of warranties

The Service is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, or uninterrupted, error-free operation. We do not warrant the accuracy, completeness or reliability of any results obtained through the Service.

8. Limitation of liability

Data loss and breach disclaimer. We implement reasonable safeguards but disclaim liability for loss, corruption or theft of data whether due to cyberattacks, hardware failure, software bugs, human error or any other cause. You are responsible for maintaining independent backups of critical data.

9. Indemnification

You agree to indemnify and hold harmless SAIBA Corporate and Simson Softwares Private Limited, its directors, officers and employees from any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of the rights of another party.

10. Intellectual property

The SAIBA Corporate platform — its software, design, text, graphics, logos and trademarks — is the exclusive property of Simson Softwares Private Limited and is protected by intellectual property laws. You may not copy, modify, distribute or create derivative works of any part of the platform without our prior written consent.

11. Termination

We may suspend or terminate your account for any reason, including violation of these Terms. On termination, your right to use the Service ceases immediately; provisions that by their nature survive (including limitations of liability and disclaimers) remain in effect. You may terminate as set out in your service agreement.

12. Governing law and disputes

These Terms are governed by the laws of India. Any disputes are subject to the exclusive jurisdiction of the courts of India. We encourage you to contact us first to resolve any dispute amicably.

13. Changes to terms

We may modify these Terms at any time and will notify you of material changes by email or a prominent notice. Continued use after the effective date constitutes acceptance.
